2. Definitions
"EarlySEO," "we," "us," and "our" mean MarkupX Brands and its successors and assigns.
"Service" means the EarlySEO website, app, APIs, automations, and related offerings.
"Content" means text, graphics, images, metadata, prompts, drafts, articles, and other materials made available on or through the Service.
"User Content" means Content that you submit, generate, import, connect, publish, or otherwise make available through the Service.
3. Changes to Terms and Service
We may revise these Terms and may change, suspend, or discontinue any part of the Service at any time in our discretion. If we make material changes, we will post the updated Terms on this page. Your continued use of the Service after the revised Terms take effect constitutes acceptance of those changes.
4. Eligibility and Compliance
You represent and warrant that you:
- Are at least 18 years old and legally capable of entering into a binding agreement
- Have not been previously suspended or removed from the Service for cause
- Will comply with all applicable laws, regulations, and third-party terms when using EarlySEO
- Have authority to connect and manage any website, WordPress.com property, Notion workspace, or other account you link to the Service
5. License and Intellectual Property
Ownership
The Service and all Content made available by EarlySEO, excluding User Content, are owned by us or our licensors and protected by intellectual property laws.
Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted.
Trademarks
EarlySEO, MarkupX Brands, and related names, logos, and marks are our proprietary trademarks. You may not use them without our prior written consent.
6. User Content
Responsibility
You retain ownership of your User Content and remain solely responsible for its legality, accuracy, and compliance with applicable rights and policies.
License to EarlySEO
By submitting or generating User Content through the Service, you grant us a worldwide, royalty-free license to host, store, process, reproduce, modify, and transmit that content solely as necessary to operate, maintain, improve, and support the Service.
Prohibited Content
You will not upload, generate, or publish Content that:
- Infringes another person's intellectual property or other rights
- Is unlawful, deceptive, defamatory, abusive, or otherwise objectionable
- Violates search-engine guidelines or third-party platform policies you are subject to
- Contains malware, malicious scripts, or other harmful code
7. Acceptable Use and Prohibited Conduct
You agree not to:
- Use the Service for any illegal, deceptive, or fraudulent purpose
- Interfere with, disrupt, or impair the functioning of the Service
- Copy, scrape, harvest, reverse engineer, or resell the Service except as permitted by law
- Attempt to gain unauthorized access to accounts, systems, or networks
- Use automated means to access the Service except through documented APIs or features we expressly make available
- Overload the Service or connected platforms with abusive, excessive, or policy-violating requests
8. Integrations and Third-Party Services
EarlySEO may integrate with WordPress.com, Notion, and other third-party services. Those services are operated by third parties, and your use of them is governed by their own terms and policies.
- We do not control or endorse third-party platforms and are not responsible for their availability, security, policies, or acts and omissions
- You are responsible for ensuring your use of connected services complies with their requirements and permissions model
- Publishing, syncing, or updating content through integrations may occur automatically based on the settings you configure
9. Fees, Payment, and Refunds
Prices for subscriptions or paid features are listed on the Service and may change at any time before purchase.
- Payments are processed by third-party payment providers, and we are not responsible for their acts or omissions
- Unless otherwise stated in writing, fees are non-refundable once billed
- If we offer a promotional trial or refund window, the terms shown at checkout or in the applicable offer will control
10. Modifications, Suspension, and Termination
We may modify, suspend, or terminate the Service or your access to it at any time, with or without notice, for any reason, including if we believe you have violated these Terms.
Upon termination, your right to use the Service will immediately cease, but provisions that by their nature should survive termination will remain in effect.
11. Disclaimer of Warranties
EarlySEO is provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and results.
Without limiting the foregoing, we do not guarantee:
- That the Service will be uninterrupted, timely, secure, or error-free
- That any content, optimization, or publication workflow will be accurate, compliant, or suitable for your needs
- That use of the Service will improve rankings, traffic, conversions, or revenue
- That third-party platforms, APIs, or search-engine algorithms will remain available or unchanged
12. Limitation of Liability
To the maximum extent permitted by law, EarlySEO, MarkupX Brands, and our affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, or cost of substitute services arising out of or related to the Service or these Terms.
Our total cumulative liability for any claim relating to the Service will not exceed the amount you paid us for the Service during the twelve months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless EarlySEO, MarkupX Brands, and our officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.
14. Governing Law and Venue
These Terms and any dispute arising out of or relating to them will be governed by the laws of India, without regard to conflict-of-law principles. Subject to any applicable arbitration requirement, the courts located in India will have exclusive jurisdiction over disputes relating to the Service or these Terms.
15. Dispute Resolution
Informal Resolution
Before starting formal proceedings, you agree to contact us at team@earlyseo.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration and Class Waiver
If a dispute cannot be resolved informally, we may require that it be resolved through binding arbitration on an individual basis, except where prohibited by applicable law. You agree not to participate in class, collective, or representative actions to the extent permitted by law.
16. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision.
17. Entire Agreement
These Terms constitute the entire agreement between you and EarlySEO regarding the Service and supersede all prior or contemporaneous understandings relating to the Service.
